Contractus Interruptus: What Happens When Contracts Go Wrong for Sellers, Buyers, Agents and Distributors

Since the beginning of the year, UKFT has been growing its webinar and seminar programme around key issues within the sector, collaborating with industry specialists to deliver tailored resources to members and the industry.
The latest seminar to take place was hosted on 26th April by UKFT’s Associate Member, the business law firm Fox Williams. The seminar ‘Contractus Interruptus: What Happens When Contracts go Wrong’ brought together 30 fashion and textile businesses, as well as brands and agents. This was the first time since the pandemic that UKFT and Fox Williams collaborated on a physical event chaired by Paul Alger, UKFT’s Director of International Business.
The event covered a wide range of contract law topics spanning the importance of terms and conditions of sale and purchase in getting paid, what happens if there is force majeure, and the impact that the non-performance of a contract can have on the seller, buyer, agent and distributor.
Steve Sidkin, Millie Pierce and Hannah McCullagh from Fox Williams updated the attendees on the importance of having the right Terms and Conditions for business transactions. This is to ensure that businesses are paid on time and can retrieve delivered good through ‘retention of title’ where their customers fail to pay or go into administration.
The Fox Williams team investigated the important protections that agents and distributors have over principals under the UK and EU law, before considering the important issues around contracts and agreements where the supply of goods could be held up or substantially changed.
Lastly, the team assessed challenges surrounding the termination of a contract through a ‘material breach’ or the retirement of an agent, and whether to opt for an ‘indemnity’ or ‘compensation’.
